A joint venture agreement lets two businesses pursue one defined project together (a development, a product line, a bid) while remaining independent companies. It records what each side contributes, how profits and losses are split, who manages the work, and how the venture winds up when the project ends.

The key difference from a partnership: a JV is limited to its stated scope. Outside the project, each business keeps its own operations, customers, and liabilities.

A contractual joint venture is the fastest to set up: no new entity, no state filing. For projects with significant liabilities (construction, real estate development), parties often form a dedicated LLC for the venture instead, trading simplicity for a liability shield.

Contributions do not have to match

The classic JV pairs complementary strengths: one party brings the brand and designs, the other brings the factory and logistics; one brings capital, the other brings the license or the customer relationships. Describe each contribution precisely, state who keeps ownership of contributed assets (each party keeps its own, under this template), and set the profit split to reflect the real value each side brings, which is not always 50/50.

Decide IP ownership upfront

Jointly created intellectual property is the most litigated JV asset. This template defaults to ownership in proportion to profit shares, but if one party must own the results outright, write that in before signing.

Keeping control balanced

  • A joint spending threshold: above it, both venturers must approve in writing
  • Either equal committee governance or a managing venturer with information duties
  • Separate books and a separate bank account, open to both parties at all times
  • A cure period before termination for breach, so projects survive fixable problems

Does a joint venture create a new legal entity?

Not with this template: it is a contractual JV where both businesses stay independent and share a project. If you want a separate entity, form an LLC for the venture and use an operating agreement to govern it.

How are joint venture profits taxed?

A contractual JV that shares profits is generally treated as a partnership for federal tax purposes: it files Form 1065 and issues K-1s to the venturers. Talk to a CPA about whether an election out of partnership treatment fits your situation.

Is each venturer liable for the other's actions?

Within the scope of the venture, yes: courts commonly apply partnership-style joint liability to JV obligations. That is why the agreement limits each party's authority, requires joint approval above a spending threshold, and confines the venture to a defined purpose.

Can one venturer work with competitors during the JV?

Outside the venture's scope, yes: this template preserves each party's independent business. If you need exclusivity within the project's market, add an explicit, narrowly drawn exclusivity clause before signing.

What happens when the project ends?

The venture winds up: third-party obligations are paid, each party takes back the assets it contributed, and remaining profits or losses are split at the agreed percentages. Confidentiality and joint IP clauses survive the wind-up.
